Terms for the Maganda Filipina Swim Suit & Lingerie Contest
Miss Maganda Filipina Contestant Agreement Acceptance and General Terms The Maganda Filipina Swimsuit and Lingerie Contest (“Maganda Filipina”) is provided under the terms of this Contestant Agreement and any other rules or policies of VIPASIA Productions (“the producer”) and Angeles2.com and ABC Hotel, the sponsors of the contest (the “Competition”). By submitting your entry and clicking the “I agree” you agree to be bound by this Contestant Agreement. Any breach of this Contestant Agreement, in our sole discretion, will result in your disqualification. You certify that you are a legal resident of the Philippines, have a valid picture ID issued by the Philippine government, female and 18 years of age or older on the date that the earliest of the Submitted Photographs or Submitted Videotape (as defined below and collectively the “Images”) was taken. All federal, state/provincial and local laws and regulations of the Philippines apply. Void where prohibited or restricted. Except as otherwise set forth in this Agreement, only one entry per month per person will be accepted. False, deceptive or incomplete entries or other information provided by you throughout the Competition (including, but not limited to, responses to questionnaires) may render you ineligible. All entries any other materials submitted (including, but not limited to, photographs and videotapes) become the sole property of Maganda Filipina and will not be returned or acknowledged. All decisions of Maganda Filipina shall be final and conclusive on all matters relating to the Competition. Finalists must agree to participate in promotional events on behalf of the Maganda Filipina and/or its entities. In addition, they must participate in coming to the ABC Hotel and compete in an event and a party on behalf of the Maganda Filipina sometime between October 1st, 2008 and June 6th, 2009. Finalists will be expected to wear Maganda Filipina clothing that may include, but is not limited to the following: an official Maganda Filipina T-shirt to be worn with contestant’s jeans, official Maganda Filipina boy- shorts and official Maganda Filipina T-shirt or official Maganda Filipina bikini, as well as select lingerie. Participants in the MF judging events and hosted parties will not be paid a minimum of 500 pesos each. Transportation and hotel accommodations may be provided at the sole discretion of Maganda Filipina. Your entry constitutes your consent to a background check that may be performed, at the sole discretion of the Maganda Filipina to verify information you provide to us or for other reasons related to the competition. You consent to Maganda Filipina's collection, use and disclosure to third parties of your personal information for the purpose of administering this Competition and as otherwise set out in this Contestant Agreement. Maganda Filipina reserves the right to terminate, withdraw or amend the Competition for any reason. Any additional uncertainty and clarity of these terms please contact: vipasia@magandafilipina.net Rules Regarding Images The competition is associated with magandafilipina.net. After completing the questionnaire at the on-line registration, you will be able to upload one (1) recent photograph of yourself in the following formats; .jpg, .gif, .bmp, .tiff, .png (the "Submitted Photographs"). After successfully logging on, entrants must submit 2 full-body shots (at least one bikini picture….other can be TASTEFUL lingerie or regular clothing) and one head shot so we can see your lovely face up close! Please make sure your photos are cropped appropriately: your face or body should take up almost the entire screen. You will also have the option to submit a video (the “Submitted Videotape”). All photos must be less than 1MB and all video must be less than 5 minutes or 100 MB. Also: - No sexually explicit poses - No nude shots - No exposed genitalia - No hats, sunglasses or hair in your face - No blurry or grainy photos - No photos that are too dark or too light - No cluttered background (not in your living room / bedroom!) - No – absolutely no – webcam photos - No text or border - No photos where you're looking to one side - You must be the ONLY person in the picture - No props or pets in your photo - No more than one photo of yourself in each frame-meaning - No collage of photos Photos displaying anything listed above will be automatically removed. No altered photographs, photographs taken prior to September 1st, 2008, or photographs containing more than one person, will be eligible. Pictures containing nudity and/or pornographic material (including, but not limited to, your nipples or genitals) absolutely will not be accepted and, if submitted, your application will be subject to disqualification in our sole discretion. The determination of whether any Image disqualifies a contestant will be in our sole and absolute discretion. Maganda Filipina further reserves the right to disqualify you if your images have been published on or after October 1, 2008, other than in the background, or during the course of this Competition is published, in any media that in Maganda Filipina’s sole discretion shall be deemed to compete with MagandaFilipina.net or the Competition. Right of the Competition and/or Maganda Filipina to Use Images Submission of Images in the Competition constitutes your consent for the Images to be reproduced, published and/or altered on the Web Site, www. MagandaFilipina.net, and/or associated or otherwise affiliated Web/WAP sites. You will be required to demonstrate that you have the rights in the Images and that you have the authority to grant Maganda Filipina the right to reproduce and publish the Images for whatever purpose Maganda Filipina deems fit in its sole and absolute discretion. Images that are modeling shots or photographs/video taken by a professional photographer/videographer, or anything other than personal photos or a video in which you hold the rights may not be submitted unless the copyright holder(s) has granted you the rights to the Images and the authority to grant Maganda Filipina those rights. In addition, you will be required to agree to a Copyright Release [link] or you will be ineligible to participate in the Competition. You are responsible for any payments to the original copyright holder(s) for the rights to publish the Images and Maganda Filipina will not be responsible for any such payment, and will not be held under any obligation to publish a credit to the original copyright holder(s). You agree to hold Maganda Filipina harmless and to indemnify Maganda Filipina from any and all liabilities, loss, claims, or causes of actions, including reasonable attorneys' fees and expenses,that may be incurred by Maganda Filipina, arising out of or relating to the use of Images. By indicating your agreement to this Contestant Agreement, you hereby, swear or affirm that you are the person represented in the Images (as defined in the Contestant Agreement) submitted to Maganda Filipina Competition. You agree to indemnify ABC Hotel, Angeles2.com, VIPASIA Productions and any and all their directors, officers, employees and agents for any and all damages, costs, expenses and other liabilities, including reasonable attorney's fees and court costs, arising out of any false, misleading, or otherwise deceptive submission of said Images. You understand that Maganda Filipina shall rely on your representations that you are the person in the Images. Entry constitutes your permission for the Competition or Maganda Filipina to use your name on Maganda Filipina.com, or an affiliated or associated Web site, and your consent to use your name, photograph, comments and/or voice recordings and likenesses for advertising or publicity purposes, in any and all media - including but not limited to magazines, online display, television, cable, video, DVD and/or film productions, wireless applications and other media channels and applications, and for advertising, promotions, or other competitions sponsored by one or all of Maganda Filipina or its affiliates and for other commercial purposes - without additional compensation or permission, except where prohibited by law. Monthly Winners During the period of September 1, 2008 through June 6th, 2009, visitors to the MagandaFilipina.net will have an opportunity to vote for their favorites among the posted entrants during the calendar days of the prior month until 11:59 P.M. Philippine time on the last day of the applicable month (the "Monthly Voting Period"). In the event that any selected entrant is determined to be ineligible after her photograph(s) have been posted, she will be disqualified and her photo will be removed. Judges may vote one time every 24 hours during each Monthly Voting Period. During each month of the Competition, the top 24 Contestants voted by the online Judges will be asked to come to the ABC Hotel for the live judging event. In addition, 5 entrants will receive wildcard positions which will allow them to take the place of any Contestant that does not confirm they will attend the live judging event at the ABC Hotel or does not show up at the event after being notified and confirmed she will attend. All entrants that participate and win each month, will not be allowed to participate in future months except for the finals. The live judging party and event for top 24 girls at the ABC Hotel. Each girl needs to attend at their own expense in order to receive 500 pesos each. There will be 3 events: Swimsuit, Lingerie and Personality/Sexiness/Attitude. After swimsuit, the panel of 5 judges will narrow it down to 10 contestants. Then, the audience will vote for the top 3 girls who will move on to the semi-finals and will receive 5,000 pesos each. Half or 2,500 pesos the day of the party and the other half or 2,500 pesos once you show up for the day of the semi finals. At the end of each month the votes will go back to zero giving everyone an equal chance for the upcoming month. Selection of the Final Winner The Final Winner of the Competition Each of the 24 Semifinal entries in the eight monthly events will be asked back to the ABC Hotel for the final judging and party. If any Contestant does not attend, they will forfeit the remainder of the moneys they won previously and are immediately disqualified for any future earnings. An alternate is then picked and will receive the funds and be in the running to compete in the Final competition. The Final Contestants will be assessed by our panel of live judges. The live judges will then decide which 12 will earn a spot in the first annual Maganda Filipina Swimsuit and Lingerie Model Calendar to be distributed widely, both online and offline! Moreover, the people attending the final event, will vote for the Contestant who deserves 1st place for the prize money and for the right to be on the cover of the calendar, be titled, Miss Maganda Filipina 2009 and receive 250,000 pesos! All 12, Top girls will be given an all expenses paid trip to an exotic location in the Philippines (to be announced later) plus some spending money and some lucky Judge may also get to accompany as well (to be determined later). Taxes, if any, are the winner's sole responsibility. No substitution, transfer, assignment or cash equivalent permitted. Maganda Filipina reserves the right to substitute prizes with one of equal or greater value, at Maganda Filipina's sole discretion. Reference to Competition and Maganda Filipina You do not have the right to license Maganda Filipina's name or trademarks, including but not limited to "MagandaFilipina.net" and "Maganda Filipina" to any other entity, even if you are making an appearance on behalf of that entity. Any such license must be secured from Maganda Filipina. The final Winner may use the Maganda Filipina logo (copy to be provided upon request of the Winner) in connection with Winner's portfolio and personal promotional online site only, provided that the logo may only be used as allowed by Maganda Filipina, and further provided that such portfolio or online site does not include any material that is considered pornographic, vulgar or obscene (which is to be determined in the sole discretion of Maganda Filipina). Maganda Filipina Winner Prize: Winner may refer to herself as the "2009 Maganda Filipina" in written and descriptive materials such as a biography, resume, or other purely noncommercial descriptive aspect. Any use of "Maganda Filipina," or any reference thereto, in connection with any promotional event or advertising must first be approved by Maganda Filipina in writing. NOTIFICATION/TERMS: Entrants, Finalists and Winner will be notified by e-mail, telephone or other means reasonably calculated to provide notice. GOVERNING LAW: This Competition shall be governed and construed by Philippine law, without respect to its principles of conflicts, and the exclusive venue for all controversies will be in Philippines. DISCLAIMER AND RELEASE OF LIABILITY: Maganda Filipina and all prize providers are not responsible for any incorrect or inaccurate entry information, human error, delay in delivery of information, technical malfunction, failures, omission, interruption, deletion, or defect of any telephone network, computer online systems, computer equipment, servers, access providers, or software, including any injury or damage to participants' or any other persons', computer relating to or resulting from participation in this Competition; inability to access the registration page, the web site or any pages thereof; theft, tampering, destruction, or unauthorized access to, or alteration of entries; entry submissions that are processed late or incorrectly or are incomplete, garbled, or lost due to computer or electronic malfunction or traffic congestion on the Internet or any web site. Proof of entering information is not considered proof of delivery or receipt. All dates set forth in this Contest Agreement are approximate. Maganda Filipina reserves the right to extend any deadlines. You hereby release Maganda Filipina and their parent companies, affiliates, subsidiaries, wholesalers, retailers, officers, directors, agents, employees and all others associated with the development and execution of this Competition from any and all liability with respect to, or in any way arising from, this Competition, including, but not limited to, publication or use of photographs/videotapes, and/or acceptance or use of the prizes, including liability for personal injury, death, damages, or monetary loss. Adult Model Release
In consideration of my engagement as a model, upon the terms herewith stated, I hereby give to Maganda Filipina and its heirs, legal representatives and assigns, those for whom Maganda Filipina is acting, and those acting with its authority and permission: a) the perpetual, exclusive and unrestricted right and permission, throughout the world, to copyright and use, re-use, publish, and republish video or pictures of me or in which I may be included intact or in part, composite or distorted in character or form, without restriction as to changes or transformations in conjunction with my own or a fictitious name, or reproduction hereof in color or otherwise, made through any and all media now or hereafter known for illustration, art, promotion, advertising, trade, or any other purpose whatsoever. b) I also permit the use of any printed material in connection therewith. c) I hereby relinquish any right that I may have to examine or approve the completed product or products or the advertising copy or printed matter that may be used in conjunction therewith or the use to which it may be applied d) I hereby release, discharge and agree to save harmless Maganda Filipina, its legal representatives or assigns, and all persons functioning under its permission or authority, or those for whom it is functioning, from any liability by virtue of any blurring, distortion, alteration, optical illusion, or use in composite form whether intentional or otherwise, that may occur or be produced in the taking of said picture or in any subsequent processing thereof, as well as any publication thereof, including without limitation any claims for libel or invasion of privacy. e) I hereby affirm that I am over the age of majority and have the right to contract in my own name. I have read the above authorization, release and agreement, prior to its execution; I fully understand the contents thereof. This agreement shall be binding upon me and my heirs, legal representatives and assigns.

Photo Release
I, grant permission to Maganda Filipina. to use all photographs or video of myself taken by me for the perpetual and exclusive use on MagandaFilipina.net and its associated web sites including but not limited to any advertising, promotional or publicity purposes. I hereby waive any right to inspect or approve the aforementioned use of the photograph now or in the future via electronic media, the Internet and any and all other mediums existing today or in the future. I hereby agree to release and hold harmless Maganda Filipina, from and against any claims, damages or liability arising from or related to the use of the photographs, including but not limited to any distortion, blurring, alteration, optical illusion or use in composite form, either intentionally or otherwise, that may occur or be produced in production of the finished product. I am 18 years of age and I am competent to contract in my own name. I have read this release before signing below, and I fully understand the contents, meaning and impact of this release. I understand that I am free to address any specific questions regarding this release by submitting those questions in writing prior to signing, and I agree that my failure to do so will be interpreted as a free and knowledgeable acceptance of the terms of this release.
